Terms of Service

1. Parties

These Terms of Service ("Terms") govern your use of Nexlify ("Service"), operated by Largo Web&Tech Solutions, a sole proprietorship owned by Raphaelly Dionisio Largo, Harmoniestrasse 8, 8712 Stäfa, Switzerland ("we", "us", "our"). By creating an account or using the Service you agree to these Terms.

2. The Service

Nexlify is an AI-powered inbox management tool that connects to Gmail, Outlook, and IMAP email accounts to classify incoming emails, extract key information, and generate reply drafts. Nothing is sent from your account without your explicit approval.

3. Free trial

New accounts receive a 14-day free trial with full access to the Service. No credit card is required to start. At the end of the trial, access is restricted until a paid plan is selected. We reserve the right to refuse or terminate trial access at our discretion.

4. Subscriptions and payment

• Paid plans are billed monthly in advance. Current pricing is displayed at mynexlifyapp.com.
• All payments are processed by Stripe. By providing payment details you agree to Stripe's terms of service.
• Subscriptions renew automatically unless cancelled before the next billing date.
• You may cancel at any time through the Billing section in Settings. Cancellation takes effect at the end of the current billing period — no refunds are issued for partial months.
• We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Acceptable use

You agree not to use the Service to:

• Send spam, phishing, or unsolicited bulk email
• Violate any applicable law or regulation
• Circumvent rate limits, abuse the AI system, or reverse-engineer the Service
• Upload malicious files or content that infringes third-party rights
• Share your account credentials with others outside your workspace

6. Your data and content

You retain ownership of all email content and data you bring into Nexlify. By connecting your inbox you grant us a limited licence to process that content solely to provide the Service. We do not sell your data or use it to train AI models for other customers.

7. Intellectual property

The Nexlify application, branding, and all associated software are the property of Largo Web&Tech Solutions. Nothing in these Terms transfers any ownership of our intellectual property to you.

8. Disclaimer and limitation of liability

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted availability or that AI-generated drafts are accurate or suitable for your purposes. Always review AI output before sending.

To the maximum extent permitted by Swiss law, our total liability for any claim arising from use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

9. Termination

You may close your account at any time from the Settings page. We may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination, your data will be deleted within 30 days as described in our Privacy Policy.

10. Governing law and jurisdiction

These Terms are governed by Swiss law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the Canton of Zurich, Switzerland, unless mandatory consumer protection law in your country of residence provides otherwise.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the new Terms.

Diese Allgemeinen Geschäftsbedingungen («AGB») regeln die Nutzung von Nexlify («Dienst»), betrieben von Largo Web&Tech Solutions, einem Einzelunternehmen von Raphaelly Dionisio Largo, Harmoniestrasse 8, 8712 Stäfa, Schweiz («wir», «uns»). Mit der Erstellung eines Kontos oder der Nutzung des Dienstes stimmen Sie diesen AGB zu.

2. Der Dienst

Nexlify ist ein KI-gestütztes Posteingangs-Management-Tool, das sich mit Gmail-, Outlook- und IMAP-E-Mail-Konten verbindet, um eingehende E-Mails zu klassifizieren, wichtige Informationen zu extrahieren und Antwortentwürfe zu erstellen. Nichts wird ohne Ihre ausdrückliche Genehmigung aus Ihrem Konto versendet.

3. Kostenlose Testphase

Neue Konten erhalten eine 14-tägige kostenlose Testphase mit vollem Zugang zum Dienst. Es ist keine Kreditkarte erforderlich. Nach Ablauf der Testphase wird der Zugang eingeschränkt, bis ein kostenpflichtiges Abonnement ausgewählt wird.

4. Abonnements und Zahlung

• Kostenpflichtige Abonnements werden monatlich im Voraus abgerechnet. Die aktuellen Preise finden Sie auf mynexlifyapp.com.
• Alle Zahlungen werden über Stripe abgewickelt.
• Abonnements verlängern sich automatisch, sofern sie nicht vor dem nächsten Abrechnungsdatum gekündigt werden.
• Sie können jederzeit über den Bereich «Abrechnung» in den Einstellungen kündigen. Die Kündigung wird zum Ende des laufenden Abrechnungszeitraums wirksam — anteilige Rückerstattungen werden nicht gewährt.
• Wir behalten uns das Recht vor, Preise mit einer Ankündigungsfrist von 30 Tagen zu ändern.

5. Erlaubte Nutzung

Sie verpflichten sich, den Dienst nicht zu nutzen, um:

• Spam, Phishing oder unerwünschte Massen-E-Mails zu versenden
• Geltendes Recht zu verletzen
• Rate-Limits zu umgehen, das KI-System zu missbrauchen oder den Dienst zurückzuentwickeln
• Schädliche Dateien oder Inhalte hochzuladen, die Rechte Dritter verletzen
• Ihre Zugangsdaten mit Personen ausserhalb Ihres Workspaces zu teilen

6. Haftungsausschluss und Haftungsbeschränkung

Der Dienst wird «wie besehen» ohne Gewährleistungen jeglicher Art bereitgestellt. Wir garantieren keine ununterbrochene Verfügbarkeit und keine Korrektheit der KI-generierten Entwürfe. Prüfen Sie KI-Ausgaben stets, bevor Sie sie versenden. Unsere Gesamthaftung für Ansprüche aus der Nutzung des Dienstes ist auf den Betrag beschränkt, den Sie uns in den 12 Monaten vor dem Anspruch gezahlt haben.

7. Anwendbares Recht und Gerichtsstand

Diese AGB unterliegen Schweizer Recht. Streitigkeiten unterliegen der ausschliesslichen Zuständigkeit der Gerichte des Kantons Zürich, Schweiz, sofern nicht zwingende Verbraucherschutzbestimmungen Ihres Wohnsitzlandes etwas anderes vorsehen.

8. Änderungen dieser AGB

Wesentliche Änderungen werden mindestens 14 Tage vor Inkrafttreten per E-Mail oder In-App-Hinweis mitgeteilt. Die fortgesetzte Nutzung des Dienstes nach diesem Datum gilt als Zustimmung.
